Agreement to Terms
These Terms and Conditions ("Terms") govern your use of the Stumpmic Intelligence Suite platform ("Service"), including Nexus and Forge, provided by Stumpmic Private Limited ("Company", "we", "us", or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to any part of these terms, you may not use our Service.
We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify you of significant changes via email.
Important: You must be at least 18 years old and have the authority to enter into agreements to use our Service.
License and Authorized Use
We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to these Terms.
You are authorized to:
- Access and use the Service according to your subscription plan
- Integrate with authorized third-party applications
- Create and manage Nexus searches and Forge agents
- Export data in supported formats
- Manage team members and access permissions
You are NOT authorized to:
- Copy, modify, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell or redistribute the Service to third parties
- Use the Service for competitive analysis or building competing products
- Attempt to gain unauthorized access to the Service or its systems
- Use the Service in violation of any applicable law or regulation
User Responsibilities
You are responsible for your use of the Service and ensuring it complies with all applicable laws and regulations.
Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized access.
Acceptable Use - You agree NOT to:
- Harass, threaten, or defame any person or entity
- Transmit viruses, malware, or harmful code
- Violate intellectual property rights of others
- Collect or harvest personal data without consent
- Violate export controls or sanction regulations
- Engage in any unlawful activity
Data Accuracy
You warrant that all information you provide is accurate and complete. You are responsible for updating information as needed.
Intellectual Property Rights
Our Content
The Service, including all software, code, content, and materials, are owned by Stumpmic or its licensors. You may not copy, modify, or distribute our intellectual property.
Your Content
You retain ownership of data you upload or create ("Your Data"). By using the Service, you grant us a license to process Your Data to provide the Service, including using it to improve our AI models (unless you opt out).
Feedback
Any feedback, suggestions, or improvement ideas you provide may be used by us without restriction or compensation.
Note: Your workspace data (Slack, Gmail, etc.) remains your property and is protected by our privacy policy.
Limitation of Liability
DISCLAIMER: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
We Do Not Warrant
- That the Service will be uninterrupted, error-free, or secure
- That search results are accurate or complete
- That agent outputs will meet your requirements
- That the Service will be compatible with all applications
Limitation of Damages
To the maximum extent permitted by law, Stumpmic shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits, data, or business opportunities
- Any damages exceeding the amount you paid in the past 12 months
Pricing and Billing
Subscription Plans
We offer monthly and annual subscription plans. Pricing is displayed on our website and subject to change with 30 days notice.
Billing
- • Charges are billed automatically to your payment method
- • You authorize us to charge your provided payment method
- • Billing occurs on the same day each month/year
- • You are responsible for keeping payment information current
Refunds
Monthly subscriptions: 14-day money-back guarantee. Annual subscriptions: 30-day money-back guarantee. After these periods, no refunds are issued.
Taxes
Prices do not include applicable taxes. We will calculate and add any required taxes to your invoice.
Termination
Termination by You
You may cancel your subscription anytime through your account settings. Cancellation takes effect at the end of your current billing period.
Termination by Us
We may terminate or suspend your account if you:
- Violate these Terms
- Fail to pay fees after 30 days notice
- Engage in harmful or illegal activities
- Violate third-party rights or regulations
Effect of Termination
Upon termination: Your access is revoked, Your Data may be deleted after 90 days, and outstanding charges remain due.
Data Retention
You may export Your Data within 30 days of cancellation. After 90 days, we delete all data associated with your account.
